Terms & Conditions for KF Orion Tech & Build

1. Introduction

KF Orion Tech & Build (“KF Orion Tech & Build”, “we”, “us”, or “our”) operates the website kforion.pk and provides services including, but not limited to, website and web application development, systems and infrastructure setup, managed IT support, analytics and tracking, and digital performance services.

By accessing our website or engaging us for any project, you (“Client”, “you”, or “your”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with any part of these Terms, you should not use this website or our services.

2. Definitions

In these Terms, unless the context requires otherwise:

• “Services” means all work provided by KF Orion Tech & Build, including consulting, design, development, implementation, hosting setup, support, and related activities.
• “Project” means a defined engagement or scope of work agreed between you and us.
• “Deliverables” means any websites, code, designs, documentation, or other outputs produced as part of a Project.
• “Proposal” or “SOW” means a written document (email, PDF, or other format) outlining scope, timelines, and commercial terms for a specific Project.

3. Scope of Services

We typically work with clients on:

• Website, web app, and e-commerce design & development
• Custom portals, dashboards, integrations, and APIs
• Hosting, infrastructure, security hardening, and performance tuning
• Analytics, tracking, and GA4 implementation
• Managed IT, ongoing support, and maintenance retainers
• Performance marketing and related digital growth initiatives

The exact scope for each Project is defined in the relevant Proposal or SOW, which forms part of these Terms.

4. Engagement Process & Project Timelines

4.1 Discovery & Proposal

Before starting any Project, we may conduct a discovery session to understand your requirements. Based on this, we provide a Proposal or SOW outlining scope, approach, estimated timelines, and fees.

4.2 Timelines

Any timelines we share are estimates and based on your timely feedback, content, and approvals. Delays in providing required assets, responses, or access may shift the originally estimated timeline.

4.3 Changes & Additional Scope

If you request features or changes beyond the originally agreed scope, we may:

• Issue a revised Proposal or change request, or
• Bill the additional work separately at our standard hourly or daily rates.

5. Fees, Payments & Taxes

5.1 Pricing

Pricing is specified in the Proposal or SOW. Unless stated otherwise, all amounts are quoted in Pakistani Rupees (PKR), exclusive of applicable taxes.

5.2 Payment Terms

Standard payment milestones may include:

• An upfront advance or booking fee to confirm the Project.
• Progress-based instalments linked to specific phases or milestones.
• A final payment upon completion, deployment, or handover of Deliverables.

Invoices are due within the timeframe mentioned on the invoice (typically 7–15 days). Late payments may delay work or deployment.

5.3 Suspension for Non-Payment

If invoices remain unpaid beyond the due date, we may temporarily suspend work, access, or support until outstanding amounts are cleared.

6. Refunds & Cancellations

Due to the nature of customised digital and development work, all advance payments and completed milestones are generally non-refundable.

• If you cancel a Project after work has started, you remain liable for payment of all work completed up to the date of cancellation.
• Any exceptional refund or credit is at the sole discretion of KF Orion Tech & Build.

7. Intellectual Property

7.1 Ownership of Deliverables

Unless otherwise agreed in writing:

• On full and final payment of all fees for a Project, you receive a licence to use the final Deliverables for your own business purposes.
• We may retain ownership of any underlying frameworks, reusable components, libraries, or internal tools used to deliver the Project.

7.2 Portfolio & Case Studies

We may display non-confidential parts of the Project (e.g., screenshots, logos, high-level results) in our portfolio, website, or pitch materials, unless you explicitly request otherwise in writing.

8. Confidentiality

Both parties agree to keep confidential information received from the other party confidential and to use it solely for the purpose of delivering or receiving the Services. This includes technical information, business processes, and non-public data.

9. Data Protection & Privacy

We handle customer and end-user data with care and implement reasonable technical and organisational measures to protect it. However:

• You are responsible for ensuring that you have all necessary rights and consents to share any data with us and to use our Services.
• You are responsible for the compliance of your own website, systems, and communication with applicable data protection and privacy laws.

10. Third-Party Services & Accounts

Many Projects rely on third-party platforms (e.g., hosting providers, domain registrars, email services, analytics tools, payment gateways, advertising platforms).

• You may be required to create and maintain your own accounts with such third parties.
• We are not responsible for downtime, changes, pricing, data loss, or incidents caused by third-party services.
• Your use of third-party services is governed by their respective terms and policies.

11. Uptime, Support & Service Levels

For ongoing support or managed IT retainers, specific SLAs (uptime targets, response times, and scope) may be defined in a separate agreement or SOW.

Unless an SLA is explicitly agreed in writing:

• We provide support on a best-effort basis during our standard support hours.
• We cannot guarantee uninterrupted or error-free operation of any system or website.

12. Acceptable Use

You agree not to use our Services or Deliverables for any unlawful, abusive, harmful, or unethical purposes, including but not limited to:

• Fraud, spam, phishing, or deception;
• Distribution of malware or malicious code;
• Hosting or promoting illegal content or activities.

We reserve the right to decline or discontinue work that conflicts with our ethical or legal obligations.

13. Warranties & Limitation of Liability

13.1 No Guarantee of Specific Results

While we strive for high-quality execution and best practices, we do not guarantee specific business outcomes (e.g., revenue, rankings, traffic, ROAS) unless explicitly agreed in writing.

13.2 Limitation of Liability

To the maximum extent permitted by law, KF Orion Tech & Build shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profit, data, or business opportunity, arising out of or related to the use of our Services or Deliverables.

Our total aggregate liability for any claim shall not exceed the total fees paid by you to us for the specific Project giving rise to the claim.

14. Indemnity

You agree to indemnify and hold KF Orion Tech & Build harmless from any claims, damages, losses, or expenses (including legal fees) arising out of:

• Your misuse of the Services or Deliverables;
• Your violation of these Terms; or
• Your infringement of any third-party rights.

15. Termination

Either party may terminate a Project or ongoing engagement if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period after written notice.

Upon termination:

• You must pay for all work completed up to the termination date.
• Any ongoing access or support may be withdrawn.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Pakistan. Any disputes arising out of or in connection with these Terms shall, in the first instance, be attempted to be resolved amicably between the parties. If no resolution is reached, the dispute may be submitted to the competent courts of Pakistan.

17. Updates to These Terms

We may update or revise these Terms from time to time. The updated version will be posted on kforion.pk with an updated “last updated” date. By continuing to use our website or Services after such changes, you agree to the revised Terms.
